The terms that govern our supply, rental, and sourcing services.

1. Parties

These Terms and Conditions ("Terms") govern the relationship between JABE Machinery & Trading Co. Ltd. ("JABE", "Supplier") and the individual or company submitting an inquiry or placing an order ("Client", "you"). By contacting us, submitting a quote request, or placing an order, you agree to these Terms.

2. Quotations

All quotations issued by JABE are indicative only and do not constitute a binding offer. A binding contract exists only when JABE issues a written order confirmation and the Client has accepted the price, lead time, and payment terms stated therein. Prices quoted are valid for 14 days unless otherwise stated.

3. Parts Compatibility

JABE supplies parts based on the machine model, serial number, and specifications provided by the Client. The Client is responsible for verifying that the information provided is accurate. JABE does not accept liability for parts that are incorrect due to inaccurate or incomplete specifications supplied by the Client.

OEM parts are sourced from authorised channels. Aftermarket parts are sourced from reputable suppliers and vetted for quality and compatibility. JABE does not warrant aftermarket parts to be equivalent to OEM parts in all respects.

4. Pricing & Payment

  • All prices are in Tanzanian Shillings (TZS) or USD as stated on the quotation.
  • Payment terms are as stated in the order confirmation. Standard terms for new clients require full payment before dispatch.
  • JABE reserves the right to revise prices for orders not yet confirmed if supply costs change materially.
  • Returned parts are subject to a restocking fee where applicable; original shipping and handling costs are non-refundable.

5. Delivery

Delivery timelines are estimates only and are not guaranteed unless expressly stated in writing. JABE is not liable for delays caused by customs clearance, shipping carriers, or events beyond our reasonable control (force majeure). Risk of loss passes to the Client upon handover to the carrier.

6. Equipment Rental

  • Rental of heavy equipment is governed by a separate Rental Agreement signed by both parties before delivery.
  • The Client is responsible for the safe operation of rented equipment and for any damage beyond normal wear and tear.
  • Rental rates cover the equipment only; operator fees, fuel, transportation to site, and insurance are charged separately unless included in the Rental Agreement.
  • Minimum rental period is one (1) working day. Early return does not entitle the Client to a pro-rata refund unless agreed in writing.

7. Limitation of Liability

JABE's total liability to the Client for any claim arising from a supply or rental transaction shall not exceed the value paid by the Client for the specific goods or services giving rise to the claim. JABE is not liable for indirect, consequential, or economic losses, including loss of production, loss of profit, or downtime costs.

8. Intellectual Property

All content on jabemachinery.co.tz — including text, images, product names, and branding — is the property of JABE Machinery & Trading Co. Ltd. or its licensors. You may not reproduce or redistribute any content without our written permission.

9. Governing Law & Disputes

These Terms are governed by the laws of the United Republic of Tanzania. Any dispute arising from these Terms shall first be subject to good-faith negotiation. If unresolved within 30 days, disputes shall be referred to the courts of Dar es Salaam, Tanzania.

10. Changes to These Terms

JABE may revise these Terms at any time. The date at the top of this page reflects the most recent revision. Orders confirmed before a revision are governed by the Terms in force at the time of confirmation.

Note for JABE / legal review: These terms are substantive boilerplate for a B2B machinery supplier. They should be reviewed by a qualified Tanzanian commercial lawyer before final publication, particularly §4 (payment terms), §6 (rental), and §7 (limitation of liability).
